By accessing or using Memoirji ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service. These Terms apply to all users of the Service.

2. Description of Service

Memoirji is an AI-powered memoir creation platform that helps users preserve their life stories through guided interviews conducted via WhatsApp. The Service allows users to create, store, and receive memoir documents based on their shared memories and stories.

3. User Accounts and Registration

To use certain features of the Service, you may be required to provide your phone number for WhatsApp-based communication. You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

4. User Content

You retain full ownership of all content, stories, and memories you share through the Service ("User Content"). By using the Service, you grant Memoirji a limited, non-exclusive, non-transferable license to process, store, and use your User Content solely for the purpose of providing and improving the Service as described in our Privacy Policy.

You represent and warrant that your User Content does not violate any applicable laws, infringe on any third party's intellectual property rights, or contain any harmful, offensive, or illegal material.

5. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Transmit harmful, offensive, defamatory, or illegal content
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Use automated means to access the Service without prior written consent
  • Impersonate any person or entity

6. Intellectual Property

The Service, including its design, features, technology, and content (excluding User Content), is owned by Memoirji LLC and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written permission.

The memoir documents generated from your stories are yours to keep and share. Memoirji does not claim ownership over the memoir output created from your personal stories.

7. Privacy and Data

Your privacy is critically important to us. Our collection and use of your personal information is governed by our Privacy Policy below, which is incorporated into these Terms by reference. Please read the Privacy Policy carefully before using the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MEMOIRJI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEMOIRJI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

10. Indemnification

You agree to indemnify, defend, and hold harmless Memoirji LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Service or violation of these Terms.

11. Termination

Memoirji reserves the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease. You may request deletion of your data at any time by contacting us.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by posting the new Terms on this page with an updated effective date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

6. Third-Party Services

The Service operates through WhatsApp, which is subject to Meta's own privacy policy and terms of service. We also use third-party AI processing services. We encourage you to review the privacy policies of any third-party services you interact with.

7. Data Security

We implement appropriate technical and organizational measures to protect your personal information against unauthorized access, alteration, disclosure, or destruction. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.
